2.2AlthougheveryefforthasbeenmadetoprovideaccurateinformationonthepagesoftheWebsite,neither,noranyofitsemployees,noranyofitssuppliers,noranyoftheiremployees,makeanywarranty,expressedorimplied,orassumeanylegalliability(totheextentpermittedbylaw)orresponsibilityforthesuitability,reliability,timeliness,accuracyorcompletenessoftheWebsite.

2.3TheCustomerisnotifiedthatcannotexercisecontroloverthesecurityorsubjectmatteroftheWebsiteandherebyexcludesallliabilityofanykindforthetransmissionorreceptionofanyinfringingpartoftheWebsite.

2.4TheCustomerisnotifiedandagreesthattheCustomerisonlypermittedtousetheWebsiteasexpresslysetoutintheseTerms&ConditionsorontheWebsite.

2.5TheCustomerisnotifiedandagreesthattheWebsiteisfortheCustomer'sownpersonaluseonlyonasinglecomputerordevice.

2.6TheCustomerisnotifiedandagreesthattheCustomermaynot:

2.6.1Copy,disclose,modify,reformat,display,distribute,license,transmit,sell,perform,publish,transferorotherwisemakeavailableanyoftheWebsiteoranyinformationlearnedbyyouwhilstusingtheservicesoraccessingtheWebsite;

2.6.2Remove,changeorobscureinanywayanythingontheWebsiteand/ortheConstructionorotherwiseuseanymaterialobtainedwhilstusingtheWebsiteand/ortheConstructionexceptassetoutintheseTerms&Conditions;

2.6.3Reverseengineerordecompile(whetherinwholeorinpart)anysoftwareusedintheWebsiteand/ortheConstruction(excepttotheextentexpresslypermittedbytheapplicablelaw);

2.6.4CopyoruseanymaterialfromtheWebsiteand/ortheConstructionforanycommercialpurpose;

2.6.7Circumventuserauthenticationorsecurityofanyhost,networkoraccount(referredtoas"cracking"or"hacking")norinterferewithservicetoanyuser,hostornetwork(referredtoas"denialofserviceattacks")norcopyanypagesorregisteridenticalkeywordswithsearchenginestomisleadotherusersintothinkingthattheyarereading'slegitimatewebpages(referredtoas"page-jacking")orusetheWebsiteortheConstructionforanyotherunlawfulorobjectionableconduct.Userswhoviolatesystemsornetworksecuritymayincurcriminalorcivilliabilityandwillatitsabsolutediscretionfullyco-operatewithinvestigationsofsuspectedcriminalviolations,violationofsystemsornetworksecurityundertheleadershipoflawenforcementorrelevantauthorities;

2.6.8UsetheSiteand/ortheConstructiontoadvertiseoroffertosellanygoodsorservicesforanycommercialpurposewithout'swrittenconsent;

2.6.9Knowinglyorrecklesslytransmitanyelectroniccontent(includingviruses)throughtheWebsiteand/ortheConstructionwhichshallcauseorislikelytocausedetrimentorharm,inanydegree,tocomputersystemsownedbyorotherInternetusers;

2.6.10Hackinto,makeexcessivetrafficdemands,deliverorforwardchainletters,"junkmail"or"spam"ofanykind,surveys,contests,pyramidschemesorotherwiseengageinanyotherbehaviourintendedtoinhibitotherusersfromusingandenjoyingtheWebsiteand/ortheConstructionoranyotherwebsite,orwhichisotherwiselikelytodamageordestroy'sreputationorthereputationofanythirdparty;

3.CUSTOMERINFORMATION

4.PROPRIETARYRIGHTS

4.1AllTradeMarksusedontheWebsiteand/ortheConstructionarethetrademarksof.TheCustomershallonlymakefairuseoftheTradeMarksandwillnotusetheTradeMarks,whetherdesignorwordmarks:(1)asoraspartofyourowntrademarks;(2)inamannerwhichislikelytocauseconfusion;(3)toidentifyproductstowhichtheydonotrelate;(4)toimplyendorsementorotherwiseofproductsorservicestowhichtheydonotrelate;or(5)inanymannerwhichdoesormaycausedamagetothereputationofortheTradeMarks.

4.2TheCustomerisnotifiedandagreesthattheWebsiteandtheConstructionoranypartthereof,whetherpresentedtotheCustomerby,advertisersoranythirdpartyareprotectedbycopyrights,trademarks,servicemarks,patents,orotherproprietaryrightsandlaws.Allrightsareexpresslyreserved.

4.3TheCustomerisonlyallowedtousetheWebsiteandtheConstructionassetoutintheseTerms&ConditionsandnothingontheWebsiteand/ortheConstructionshallbeconstruedasconferringanylicenceorothertransferorrightstotheCustomerofanyintellectualpropertyorotherproprietaryrightsoforanythirdparty,whetherbyestoppel,implicationorotherwise.

4.4TheCustomerherebygrantstoaperpetual,irrevocable,royalty-free,world-widelicencetoreproduce,transfer,modify,adaptand/orpublishanycontentprovidedbytheCustomerbyemail,postorotherwiseontheWebsiteand/ortheConstructionasseesfitandwithoutnoticetotheCustomer,unlesstheCustomerhasindicatedotherwiseinsuchcommunication.

4.5TheCustomermayestablishalinktotheWebsitefromtheCustomer'swebsite,providedthattheCustomerhasobtained'spriorwrittenconsentandthatin'ssolediscretion,thecontextisrelevantandthelinkoritsdescriptionisnotdetrimentalto.

5.LIABILITYINRESPECTOFTHIRDPARTYCONTENT

5.1TheWebsitemayfromtimetotimecontainlinkstothewebsites,webpages,productsandservicesalsooperatedbyandyouagreethatyouruseofeachwebsite,webpage,productandserviceisalsosubjecttotheTerms&Conditions,ifany,containedwithineachwebsiteorwebpageorattachedtoanyproductsorservices.TheseTerms&ConditionsshallbedeemedtobeincorporatedintoeachsetofTerms&Conditions.Intheeventthatthereisanyconflict,theTerms&ConditionscontainedwiththerelevantwebsiteorwebpageorattachedtotherelevantproductsorservicesshallprevailovertheseTerms&Conditions.

6.EXCLUSIONOFLIABILITYANDOBLIGATIONSOF.

6.1TheCustomeragreesthatdoesnotgenerallyandisnotrequiredtomonitororedittheusetowhichtheCustomerorothersusetheWebsiteandtheConstructionandisexcludedfromallliabilityofanykind(totheextentpermittedbylaw)arisingfromtheuseoftheWebsiteandtheConstruction.Notwithstandingtheforegoing,reservestherighttoalter,updateorremovetheWebsiteand/ortheConstructioninwholeorinpart,atanytimeasinitssolediscretionconsiderstobenecessaryinordertopreventanybreachoftheseTerms&Conditionsoranybreachofapplicablelawsorregulations.

6.2shalluseitsreasonableendeavourstoensurethemaintenanceandavailabilityoftheSiteandtheServicesbutavailabilitymaybeaffectedbytheequipmentoftheCustomer,communicationnetworks,toomanypeopletryingtousecommunicationnetworksortheInternetatthesametimeorothercausesofinterferenceandmayfailorrequiremaintenancewithoutnotice.

6.3shallnotbeliableforanyspecial,indirectorconsequentialdamagesoranydamageswhatsoever,whetherinanactionofcontract,negligenceorothertortiousaction,arisingoutoforinconnectionwiththeperformanceoforuseoftheWebsiteand/ortheConstructionandinparticular,butwithoutlimitationtotheforegoing,specificallyexcludesallliabilitywhatsoeverinrespectofanylossarisingasaresultof:

6.3.1UsewhichyoumakeoftheWebsiteandtheConstructionorrelianceoncontentorservicesorgoodsoranylossofanyservices,goodsortheCustomer'scontentresultingfromdelays,non-deliveries,misseddeliveries,orservicesinterruptions;and

6.3.2Defectsthatmayexistorforanycosts,lossofprofits,lossoftheCustomer'scontentorconsequentiallossesarisingfromtheCustomer'suseof,orinabilitytouseoraccessorafailure,suspensionorwithdrawalofallorpartoftheWebsiteandtheConstructionatanytime.

6.4AllconditionsorwarrantiesthatmaybeimpliedorincorporatedintotheseTerms&Conditionsbylaworotherwiseareherebyexpresslyexcludedtotheextentpermittedbylaw.

6.5TheCustomer'sonlyremedyundertheseTerms&ConditionsistodiscontinueuseoftheWebsiteandtheConstruction.

6.6makeseveryefforttoensurethesecurityoftheCustomer'scommunications.TheCustomerishoweveradvisedthatforreasonsbeyond'scontrol,thereisariskthattheCustomer'scommunicationsmaybeunlawfullyinterceptedoraccessedbythoseotherthantheintendedrecipient.Forexample,theCustomer'scommunicationsmaypassoverthirdpartynetworksoverwhichhasnocontrol.TheInternetisnotasecureenvironment.UnwantedprogramsormaterialmaybedownloadedwithouttheCustomer'sknowledge.

7.INDEMNITYBYTHECUSTOMER

7.1TheCustomerherebyagreestofullyindemnifyandtoholdharmlessfromandagainstanyclaimbroughtbyathirdpartyresultingfromtheuseoftheWebsiteandtheConstructionortheprovisionofcontent,goodsorservicestobytheCustomerandinrespectofalllosses,costs,actions,proceedings,claims,damages,expenses(includingreasonablelegalcostsandexpenses),orliabilities,whatsoeversufferedorincurreddirectlyofindirectlybyinconsequenceofsuchuseoftheWebsiteandtheConstructionorprovisionofcontent,goodsorservicesortheCustomer'sbreachornon-observanceofanyoftheseTerms&Conditions.

8.VARIATION

8.1reservestherighttomodifytheWebsiteand/ortheConstructionorsuspendorterminatetheWebsiteand/ortheConstructionoraccesstopartorallofthematanytime.

8.2reservestherighttorevisetheseTerms&Conditionsatanytime.SuchvariationsshallbecomeeffectivetwoweeksafterbeingpostedontheWebsite.BycontinuingtousetheWebsiteyouwillbedeemedtohaveacceptedthevariedTerms&Conditions.

9.TERMINATION

9.1mayelecttosuspend,varyorterminatetheWebsiteandtheConstructionandanypartthereofimmediatelyandwithoutpriornoticeatanytimeforrepairormaintenanceworkorinordertoupgradeorupdatetheWebsiteandtheConstructionandanypartthereoforforanyotherreasonwhatsoever.

9.2mayelecttoterminatetheCustomer'saccesstotheWebsiteandtheConstructionandanypartthereofforthwithonbreachofanyoftheseTerms&ConditionsbytheCustomer,orifceasestooffertheWebsiteandtheConstructionandanypartthereofforanyreasonwhatsoever.

10.GENERAL

10.1GoverningLawandJurisdiction-theseTerms&ConditionsaregovernedbyandconstruedinaccordancewiththelawsofEnglandandWalesandtheCustomerherebysubmitstothenon-exclusivejurisdictionoftheEnglishcourts.

10.2Severability-theseTerms&ConditionsareseverableinthatifanyprovisionisdeterminedtobeillegalorunenforceablebyanycourtofcompetentjurisdictionsuchprovisionshallbedeemedtohavebeendeletedwithoutaffectingtheremainingprovisionsoftheseTerms&Conditions.

10.3Waiver-failuretoexerciseanyparticularrightorprovisionoftheseTerms&Conditionsshallnotconstituteawaiverofsuchrightorprovisionunlessacknowledgedandagreedtobyinwriting.

10.4Representations-theCustomerisnotifiedandagreesthatinenteringintotheseTerms&ConditionstheCustomerdoesnotrelyon,andshallhavenoremedyinrespectof,anystatement,representation,warrantyorunderstanding(whethernegligentlyorinnocentlymade)ofanyperson(whetherpartytotheseTerms&Conditionsornot)otherthanasexpresslysetoutintheseTerms&Conditionsasawarranty.NothinginthisClauseshall,however,operatetolimitorexcludeanyliabilityforfraud.

10.5Assignment-theCustomerinenteringintotheseTerms&ConditionsundertakethattheCustomerwillnotassign,re-sell,sub-leaseorinanyotherwaytransfertheCustomer'srightsorobligationsundertheseTerms&Conditionsorpartthereof.Contraventionofthisrestrictioninanyway,whethersuccessfulornot,willresultintheWebsiteandtheConstructionandallcontent,goodsandservicesbeingterminatedbyforthwith.mayassigntheseTerms&Conditionsinwholeorinparttoanythirdpartyatitsdiscretion.

10.6RightsofThirdParties-ApersonwhoisnotapartytothisAgreementhasnorightsundertheContracts(RightsofThirdParties)Act1999orotherwisetoenforceanyClauseoftheseTerms&Conditions.

10.7ForceMajeure-shallnotbeliableinrespectofanybreachoftheseTerms&Conditionsduetoanycausebeyonditsreasonablecontrolincludingbutnotlimitedto,ActofGod,inclementweather,actoromissionofGovernmentorpublictelephoneoperatorsorothercompetentauthorityorotherpartyforwhomisnotresponsible.
